Important notice to Customer – Summary of potentially prejudicial terms

This summary is provided in accordance with section 47A(1) of the Fair Trading Act 1987 (NSW). It highlights certain terms in
Bartco’s “General terms and conditions of trade” set out below (the Conditions) that may substantially prejudice the interests of
the Customer. This summary is not a substitute for reading the full Conditions, which apply to all goods and services supplied
Bartco to the Customer.

Key terms which may prejudice the Customer

• Cancellation costs: If you cancel an order after it has been accepted by Bartco, you may be required to reimburse Bartco for
any losses or expenses it has incurred in preparing your order.
• Price adjustments: Prices quoted by Bartco may change if you do not meet any applicable minimum order quantities, or if
your order is placed after the quotation expires. Additional charges may apply for taxes, duties, delivery and freight
insurance.
• No refunds: To the extent permitted by law, payments made to Bartco are generally non-refundable.
• Delivery risks and costs: You are responsible for collecting the goods or paying for delivery. Bartco is not liable for delays,
and you may be charged extra if you fail to collect or take delivery on time.
• Registration of trailers: If you purchase a trailer for use on public roads, you are solely responsible for arranging and paying
for its registration with the relevant authority.
• Damage, defects and shortages on delivery: Unless you notify Bartco in writing within 5 business days of receiving the goods
that they are damaged or defective, or there is a short delivery, the goods will be assumed to have been delivered
undamaged, without defects that could be found through a reasonable inspection, and with no shortages.
• Risk and ownership: You bear the risk of loss of, or damage to, the goods once they are delivered or collected. Bartco retains
ownership of the goods until Bartco has received payment in full of all amounts you owe Bartco.
• Security interests: Bartco retains a security interest in the goods until you have paid all amounts you owe Bartco in full, and
may recover the goods (including by entering your premises) if you default in making payment.
• Software use restrictions: Software provided with the Bartco’s goods is licensed to you, not sold. Your use of the software
is limited and may be revoked if you breach the applicable terms or fail to pay any applicable fees.
• Service interruptions: Bartco is not liable for interruptions to software or platform access due to technical issues, updates,
or network problems.
• Limitation of liability: Bartco limits its liability for loss or damage, to the extent permitted by law. Its maximum liability is
generally capped at the amount you paid under the contract.
• Intellectual property: You do not own or have rights to use Bartco’s intellectual property beyond what is expressly permitted.
You must not copy, modify, or reverse-engineer any software or related materials.
• Termination rights: Bartco may terminate the contract immediately if you breach its terms (and, if the breach is capable of
remedy, you do not remedy the breach within 5 business days after being notified of the breach), or (subject to applicable
law) you become insolvent. Bartco may then also suspend deliveries under any other contracts it has with you, or terminate
those other contracts.
• Jurisdiction: The contract is governed by the laws of Victoria, and any disputes must be resolved in the Victorian courts
